Zenobia Management SA serves families mainly throughout Europe and the United Kingdom. Established in 1982, in Switzerland, the company was originally structured as a single-family office specialized in shipping by operating a fleet of dry bulkers, alongside real estate, aviation and portfolio management. As result of growing interest from third parties and referrals, Zenobia Management SA became an independent multi-family office by year 2000, further diversifying and developing its range of services.

Henceforth, we are a one-stop shop for offshore and domestic clients looking to build or maintain various structures and trusts, by providing corporate, administration, management and accounting services. We also offer strategic advice and consultancy services related to investments as well as wealth and  inheritance planning.

OUR SERVICES

Corporate, Compliance & Administration

Ensure top-notch compliance with increasingly demanding regulatory standards at the international level. This includes Anti-Money Laundering (AML) and Know-Your-Client (KYC) requirements for banks, investments and audit. Inception of bank accounts and companies.

Correspondence with representatives as well as tax and legal advisers. Drafting and implementation of resolutions, agreements, Board meetings, minutes, contracts and enforcement of decisions in matters of inheritance.

On-premise safekeeping of physical documents. All client and corporate data are kept physically or on our local server (i.e. no cloud storage) to circumvent cyber risk and maximize discretion.

Accounting & Financial Reports

Execute payments, thoroughly maintain bookkeeping and trial balances. Reconciliation, monitoring of transactions and loan agreements. Preparation of budget and financial statements as well as complementary analysis and charts.

Deal with auditors and make sure that the companies meet all accounting and legal requirements, including Annual Returns and Economic Substance. Provide also VAT filing for UK, Swiss and other countries.

Management, Directorship & Family Communication

Provide independent and proficient governance for the clients’ companies. Provide advice regarding the governance of trusts. As signatories, emphasize internal controls and oversight against fraud attempts with “Four-Eye” check on any transactions.

Participation in Board and family meetings, carry out decisions taken.

Ensure family and the next generation are aware and educated on all operations and undertakings emanating from the structure.

Investment, Risk Management & Estate Planning

Build tailormade strategic, tactical and portfolio asset allocations catering for the client’s needs with custom benchmarking and long-term view. Monitor portfolios, performance and conduct individual managers’ fee and performance analysis. Issue monthly market review and specific equity, bond or fund manager analysis upon request. Overall, depict the client’s total capital into a consolidated report including allocation, charts and recommendations.

For discretionary mandates, ensure that the respective banks follow and do not stray from the client strategic allocation and benchmarks. Challenge the banks on investment decisions, performance and outlook. Provide analyses on existing and new portfolios.

Oversee liquidity, particularly for portfolios with substantial alternative investments such as hedge funds and private equity to make sure that future spending needs will be met at the right time. Ultimately, manage budget and risk according to the client’s profile and multi-generational planning to ensure capital protection, perennity as well as serenity.

Shipping & Maritime Assets

Maintain reputation, regulatory compliance and follow closely operations including charter hire, running and stakeholders’ costs. Disbursement and master accounts, as well as supporting analysis.

Act as central point and facilitator between ship owners, vessels, charterers and other parties involved.

Produce and execute Sale & Purchase Agreements (SPA) for any kind of vessels, including yacht.
